This Authorized Point of Sale Partnership Agreement (the “Agreement”) is entered into as of , by and between:

Orlando / Kissimmee, Florida
(“Publisher”)
and
[APS Partner Company Name]
(“APS Partner” or “Partner”)
Collectively referred to as the “Parties”.
1. APPOINTMENT
Publisher appoints Partner as a non-exclusive Authorized Point of Sale (APS) in Orange and Osceola Counties, Florida, for the purpose of selling advertising space in América Magazine.
2. TERM
This Agreement shall commence on the Effective Date and continue for an initial term of twelve (12) months, automatically renewing for successive one-year periods unless terminated by either Party with thirty (30) days’ written notice.
3. OBLIGATIONS OF THE APS PARTNER
Partner agrees to:
- Maintain a clean, professional physical storefront
- Prominently display América Magazine copies and APS signage
- Actively sell advertising space to existing and new clients
- Provide monthly sales reports by the 5th of each month
- Collect and remit advertising payments according to the agreed terms
4. OBLIGATIONS OF THE PUBLISHER
Publisher agrees to:
- Provide Partner with current Media Kits and rate cards
- Supply printed magazines and promotional materials
- Process approved advertisements for publication
- Pay Partner a commission of 30% on all advertising revenue closed by Partner
5. COMPENSATION
Partner shall earn a commission of thirty percent (30%) of the net advertising revenue generated from ads sold by Partner. Commissions shall be paid within fifteen (15) days after Publisher receives full payment from the Advertiser.
6. TERMINATION
Either Party may terminate this Agreement with thirty (30) days’ written notice. Upon termination, Partner shall return all materials belonging to Publisher and settle all outstanding payments within fifteen (15) days.
7. GENERAL TERMS
This Agreement constitutes the entire understanding between the Parties. It shall be governed by the laws of the State of Florida. Venue shall be in Orange or Osceola County.
By signing below, both parties acknowledge they have read, understood, and agree to all terms of this Authorized Point of Sale Partnership Agreement.

(“Socio APS” o “Socio”)
Colectivamente denominados las “Partes”.
1. NOMBRAMIENTO
El Editor nombra al Socio como Punto de Venta Autorizado (APS) no exclusivo en los condados de Orange y Osceola, Florida, con el propósito de vender espacio publicitario en América Magazine.
2. PLAZO
Este Acuerdo comenzará en la Fecha de Efectividad y continuará por un plazo inicial de doce (12) meses, renovándose automáticamente por períodos sucesivos de un año a menos que sea terminado por cualquiera de las Partes con treinta (30) días de aviso por escrito.
3. OBLIGACIONES DEL SOCIO APS
El Socio se compromete a:
- Mantener un local físico limpio y profesional
- Exhibir de manera prominente ejemplares de América Magazine y señalización APS
- Vender activamente espacio publicitario a clientes existentes y nuevos
- Proporcionar reportes de ventas mensuales antes del día 5 de cada mes
- Cobrar y remitir los pagos de publicidad según los términos acordados
4. OBLIGACIONES DEL EDITOR
El Editor se compromete a:
- Proporcionar al Socio Media Kits y tarifas actualizadas
- Suministrar revistas impresas y materiales promocionales
- Procesar los anuncios aprobados para su publicación
- Pagar al Socio una comisión del 30% sobre todos los ingresos publicitarios cerrados por el Socio
5. COMPENSACIÓN
El Socio ganará una comisión del treinta por ciento (30%) de los ingresos netos de publicidad generados por los anuncios vendidos por el Socio. Las comisiones se pagarán dentro de los quince (15) días posteriores a que el Editor reciba el pago completo del Anunciante.
6. TERMINACIÓN
Cualquiera de las Partes puede terminar este Acuerdo con treinta (30) días de aviso por escrito. Al terminar, el Socio devolverá todos los materiales pertenecientes al Editor y liquidará todos los pagos pendientes dentro de los quince (15) días.
7. TÉRMINOS GENERALES
Este Acuerdo constituye el entendimiento completo entre las Partes. Se regirá por las leyes del Estado de Florida. La jurisdicción será en el Condado de Orange u Osceola.
Al firmar a continuación, ambas partes reconocen haber leído, comprendido y aceptado todos los términos de este Acuerdo de Socio Punto de Venta Autorizado.
